These terms of service ("Agreement" or "Terms") are a legally binding agreement between you ("Network," "you"), and Post Clips Corp., including its affiliates ("Post Clips," "we," "us," or "our"), a Delaware Corporation.
Post Clips is the owner and operator of certain websites, portals, dashboards, and related materials made available to Networks (collectively, the "Network Site"). The Network Site may be used to learn about Post Clips, request information, communicate with us, and, where applicable, access limited Network-facing features or materials.
PLEASE CAREFULLY READ THESE TERMS AND OUR PRIVACY POLICY (INCORPORATED HEREIN BY REFERENCE) TO ENSURE THAT YOU UNDERSTAND EACH PROVISION.
ARBITRATION NOTICE: THESE TERMS CONTAIN A MANDATORY ARBITRATION CLAUSE THAT REQUIRES THE USE OF ARBITRATION TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS AND LIMITS THE REMEDIES AVAILABLE IN THE EVENT OF CERTAIN DISPUTES. PLEASE READ IT CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
BY ACCESSING OR USING THE NETWORK SITE, CLICKING TO ACCEPT THESE TERMS (IF PRESENTED), SUBMITTING INFORMATION THROUGH THE NETWORK SITE, OR OTHERWISE ENGAGING WITH THE NETWORK SITE, YOU AGREE THAT YOU: (A) HAVE READ AND UNDERSTOOD THIS AGREEMENT; AND (B) AGREE THAT YOU ARE LEGALLY BOUND BY THIS AGREEMENT.
IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS, IN WHICH CASE THE TERMS "NETWORK," "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES.
If you and Post Clips have entered into a separate written agreement governing paid services, deliverables, campaign terms, statements of work, fees, or similar commercial terms (a "Client Agreement"), then, to the extent there is any conflict, the Client Agreement will control with respect to its subject matter. These Terms govern access to and use of the Network Site and apply whether or not a Client Agreement exists.
Subject to your compliance with the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Network Site for your internal business purposes in connection with evaluating or engaging with Post Clips.
You agree that the Network Site, including without limitation its software, design, text, graphics, trademarks, and editorial content, is owned by Post Clips and/or its licensors and is protected by applicable intellectual property and other laws. You agree that you will use the Network Site only as permitted by this Agreement.
You agree not to: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure of the Network Site; (ii) use automated systems or software to extract data from the Network Site, including for commercial purposes ("data scraping"); (iii) modify, translate, or create derivative works based on the Network Site; (iv) rent, lease, loan, sell, distribute, or otherwise make the Network Site available to any third party; (v) exploit the Network Site in any unauthorized way whatsoever, including by transmitting any computer viruses, worms, Trojan horses or other malware, or by trespass or burdening network capacity; (vi) circumvent or disable any security or other technological features or measures of the Network Site; (vii) take any action to contest Post Clips' intellectual property rights or infringe them in any way; (viii) use the Network Site for any illegal or unauthorized purpose; or (ix) remove any proprietary notices or labels.
You acknowledge and agree that the Network Site is provided under license, and not sold, to you. Except to the extent necessary to access and use the Network Site as expressly permitted herein, nothing in this Agreement grants any title or ownership interest in or to any copyrights, patents, trademarks, trade secrets or other proprietary rights in or relating to the Network Site whether expressly, by implication, estoppel or otherwise. Post Clips and its licensors reserve and shall retain their entire right, title, and interest in and to the Network Site, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.
In the event that any information is disclosed to you through your access to the Network Site or communications with Post Clips that relates to Post Clips and its business, or that would reasonably be considered confidential, proprietary, or non-public (including, without limitation, certain product information, materials, documentation, analytics, operational details, or other non-public information), you agree to hold such information in the strictest confidence and not to disclose such information to any third party except to your employees, contractors, and representatives who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth in this Agreement.
If a Client Agreement exists, the confidentiality provisions of that Client Agreement will control with respect to its subject matter.
If you provide or make available any materials, information, instructions, or content to Post Clips (including without limitation logos, trademarks, brand guidelines, creative assets, written briefs, or other materials) (collectively, "Network Materials"), you represent and warrant that you have all rights necessary to provide such Network Materials to Post Clips.
You hereby grant Post Clips a limited, worldwide, royalty-free, non-exclusive license to use, reproduce, display, and otherwise process Network Materials solely to (a) evaluate a potential relationship; (b) operate and provide the Network Site; and (c) perform services under any Client Agreement, if executed.
Any information, descriptions, or materials made available on the Network Site are for informational purposes only. The Network Site may describe potential services, features, workflows, or outcomes, but such descriptions do not constitute a promise, guarantee, or commitment.
Any commitments regarding deliverables, timelines, performance metrics, fees, service levels, or outcomes must be set forth in a Client Agreement executed by authorized representatives of both parties.
The Network Site may include links to, or integrations with, third-party services. Post Clips is not responsible for third-party services, and your use of them may be governed by separate terms and policies.
YOUR USE OF THE NETWORK SITE IS AT YOUR SOLE RISK. THE NETWORK SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT (I) THE NETWORK SITE WILL MEET YOUR REQUIREMENTS, (II) ACCESS TO THE NETWORK SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE QUALITY OF ANY INFORMATION OR MATERIAL OBTAINED BY YOU THROUGH THE NETWORK SITE WILL MEET YOUR EXPECTATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POST CLIPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, OR GOODWILL, OR ANY LOSS OF DATA OR USE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF THE NETWORK SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE.
IN NO EVENT SHALL POST CLIPS' TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE NETWORK SITE OR THIS AGREEMENT EXCEED ONE HUNDRED DOLLARS ($100.00). IF A CLIENT AGREEMENT EXISTS, ITS LIMITATION OF LIABILITY PROVISIONS WILL CONTROL WITH RESPECT TO ITS SUBJECT MATTER.
If Post Clips and/or its affiliates, officers, employees, managers, directors, and agents (the "Indemnified Parties") incur or suffer any loss or liability whatsoever (including but not limited to a fine, penalty, damages award, legal costs and expenses such as attorneys' fees, etc.) under or in connection with any demand, claim, suit, or proceeding made or brought by a third party against any Indemnified Parties arising from (a) your breach of this Agreement; (b) your misuse of the Network Site; or (c) your Network Materials (including any claim that Network Materials infringe or misappropriate any third-party rights), you shall indemnify, defend, and hold harmless the Indemnified Parties from and against such losses and liabilities.
Post Clips reserves the right, at its sole discretion, to modify or discontinue, temporarily or permanently, the Network Site or to modify this Agreement at any time and without prior notice. If we modify this Agreement, we will post the modification on the Network Site and update the "Last Updated" date. If you do not agree to the modified Agreement, then your sole remedy is to stop accessing or using the Network Site. Otherwise, your continued access or use of the Network Site constitutes your acceptance of the modified Agreement.
To the maximum extent permitted by applicable law, this Agreement, as well as all claims and disputes arising out of or relating to this Agreement or the Network Site (a "Dispute"), shall be governed by the law of the State of California, without respect to its conflicts of laws principles.
In the event of a Dispute, such Dispute shall be resolved exclusively by binding arbitration administered by JAMS pursuant to its then-current rules and procedures, before a single arbitrator. The arbitration shall take place in Los Angeles, California. THE PARTIES AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Notwithstanding the foregoing, either party may seek temporary injunctive relief in a court of competent jurisdiction to prevent irreparable harm (including without limitation unauthorized access, data scraping, or unauthorized disclosure of Confidential Information), and such request shall not be deemed incompatible with the agreement to arbitrate.
To the fullest extent permitted by applicable law, any claim you may have arising under, or otherwise in connection with this Agreement, must be filed within ONE (1) YEAR after such claim first arose, or else you agree that such claim will be barred forever.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and us with respect to the Network Site and supersedes any prior agreements between you and us with respect to the Network Site. In the event a Client Agreement exists, such Client Agreement governs and supersedes this Agreement with respect to its subject matter.
The section titles in this Agreement are for convenience only and have no legal or contractual effect. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
